1. Using Spendclose
These Terms of Use and End User License Agreement govern access to Spendclose, a workspace for connecting engineering-platform spend data, reviewing evidence, and closing reporting periods. By using Spendclose, you confirm that you are authorized by your organization to access the workspace and the provider accounts you connect.
2. License and account access
Subject to these terms and any agreement between your organization and the Spendclose operator, you receive a limited, non-exclusive, non-transferable, revocable license to use the service for your organization's internal business purposes. Access is assigned through your organization's identity provider and may be suspended or removed by an authorized organization administrator.
3. Provider connections
You are responsible for selecting the correct provider account or team and for having permission to authorize the connection. Spendclose requests the provider scope shown during authorization and uses connected provider data to produce spend and usage views. The service does not deploy, edit, or delete your Vercel projects. You can disconnect a provider from the workspace; disconnecting stops future syncs and removes the stored provider credential.
4. Your data
Your organization retains its rights in the data it makes available through Spendclose. You grant the limited permission needed to host, process, secure, and display that data to provide the service. Spendclose is designed to store redacted financial and usage metadata, invoices, and derived facts—not prompts, model completions, ordinary developer API keys, or raw provider payloads.
5. Acceptable use
You must not use Spendclose to violate a provider's terms, access another organization's data, reverse engineer the service, interfere with its security controls, or upload malicious content. You must keep your identity-provider account secure and promptly report suspected unauthorized access to your organization administrator.
6. Third-party services
Spendclose depends on third-party identity, cloud, and provider services. Those services remain governed by their own terms and availability. A provider outage, revoked authorization, missing scope, or stale source may limit what Spendclose can display; the product labels those conditions rather than presenting an unsupported number.
7. Availability and disclaimers
Spendclose is provided on an availability basis and is not accounting, tax, legal, or financial advice. You are responsible for reviewing the evidence and approving your organization's close in accordance with your internal controls. No close report replaces your organization's books or records.
8. Suspension and termination
Your organization may stop using the service at any time. We may suspend access when reasonably necessary to protect the service, users, or provider accounts, or to address a violation of these terms. On termination, customer financial and analytical data is scheduled for deletion within the published deletion window, normally 30 days, unless a legal hold or contractual retention obligation applies. Audit records may be retained for the applicable contractual window.
9. Changes
We may update these terms as the service changes. The effective date at the top of this page identifies the current version. Material changes should be reviewed by an authorized organization administrator before continued use.
